Terms of Service
Effective from: 1 May 2026
1. Introductory provisions
1.1. These Terms of Service (the “Terms”) govern the rights and obligations between Brutuscore s. r. o., registered office Lermontovova 911/3, 811 05 Bratislava – mestská časť Staré Mesto, Slovak Republic, ID No.: 57114129, Tax ID: 2122585311, VAT ID: SK2122585311 (the “Provider”), and any natural or legal person who uses the Provider's services, always in the course of their business activity (the “User”).
1.2. These Terms form an integral part of the service agreement concluded between the Provider and the User (the “Agreement”) and are binding for any provision of the Provider's services, in particular for the operation of the e-commerce platform provided as a service under the name Merzio.
1.3. The Agreement is concluded by means of distance communication. The User acknowledges that the contracting parties are not physically present at the time of conclusion.
1.4. Diverging arrangements agreed within the order process, an individual order, or any other express agreement take precedence over these Terms.
2. Definitions
2.1. E-shop means the online store operated through the Service, intended for the sale of goods or services; it may be either a Trial E-shop or a live E-shop.
2.2. Service means the Provider's e-commerce solution provided as a service (SaaS) under the name Merzio. The application is available and operated at app.merzio.tech. Registration and access can also be initiated via the marketing site at www.merzio.tech, from which the User is redirected to the application. Through the Service, the User can create and operate their own E-shop using preconfigured themes. The Service also includes custom work performed under an Individual Order.
2.3. Extension features are additional functionalities and integrations with external services for the User's E-shop, developed exclusively by the Provider and governed by these Terms. The Merzio platform is a closed system — all features, modules and extensions are developed and managed exclusively by the Provider. There is no third-party add-on marketplace and no possibility for third parties to develop or integrate custom extensions into the platform.
3. Trial E-shop and order
3.1. Before ordering a paid Service plan, the User may try the Service free of charge for 14 days from registration. The User creates an account directly in the application at app.merzio.tech by entering a contact e-mail and accepting these Terms. After registration, a trial E-shop (the “Trial E-shop”) is automatically created on a Merzio platform subdomain (e.g. 123456.merzio.tech), with full access to the Service's admin interface.
3.2. If the User is satisfied with the Trial E-shop, they may upgrade to a paid plan within the portal at app.merzio.tech (the “Order”). The upgrade is completed by selecting the desired plan and filling in payment and billing details directly in the portal. After successful payment setup, the E-shop will be activated in live operation and the User may run it on their own domain. 4. Price and payment terms
4.1. The price for the Service is based on the plan selected by the User; the price list is available at www.merzio.tech/en/pricing/. The price is charged exclusively in euros; currency changes are not possible. Payments are processed exclusively via the Creem payment gateway (Armitage Labs OU, Telliskivi Street 57b/1, Tallinn 10412, Estonia) by recurring card payments.
4.2. The billing period is monthly. Payment is automatically charged from the User's card at the beginning of each new billing period.
4.3. All prices are stated exclusive of value added tax. If any additional taxes or fees apply, they shall be borne in full by the User.
5. Licence and intellectual property
5.1. Certain parts of the Service, in particular graphic elements, texts, computer programs and other content (the “Provider Content”), are protected by copyright and other intellectual property rights of the Provider. The Provider Content remains the property of the Provider, and the User is not granted any rights other than those expressly set out in this article.
5.2. For the purpose of proper use of the Service, the Provider grants the User a non-exclusive, territorially unlimited licence to use the Provider Content, limited in time exclusively to the period for which the User pays for the Service.
6. Limitation of liability
6.1. The Provider shall not be liable for any lost profit of the User or for defects or damage caused in particular by defects of the Service attributable to the User, third parties or force majeure events.
6.2. The total aggregate liability of the Provider shall in no case exceed the total amount of fees actually paid by the User for the Service during the twelve (12) months immediately preceding the event giving rise to the liability; the absolute maximum cap is EUR 5,000.
7. Termination of the Service
7.1. The Service is provided for an indefinite period, from the moment of Order confirmation until its express cancellation or termination of the contractual relationship. Either party may terminate the Service agreement by written notice with a notice period of one (1) month.
7.2. Following termination of the Service, the Provider shall delete all User data uploaded into the Service no later than within 90 (ninety) days. The User is responsible for exporting and backing up such data before the end of the Service.
8. Processing of personal data
8.1. The provision of the Service may involve the processing of personal data. The conditions for such processing and related information are governed by the “Privacy Policy” document available at www.merzio.tech/en/privacy/.
9. Final provisions
9.1. The Provider may unilaterally amend these Terms. The Provider shall notify the User of any change in good time by e-mail or via the website. If the User rejects such change, this shall be deemed a termination notice with a one (1) month notice period from the date of rejection.
9.2. All legal relations arising from these Terms are governed by the laws of the Slovak Republic, and any disputes arising therefrom shall be exclusively resolved by the Slovak courts with jurisdiction at the Provider's registered office.
9.3. These Terms become effective on 1 May 2026.
